Terms of Service

These Terms of Service ("Terms") govern access to and use of the AITA platform, websites, and related services (the "Service") provided by AITA ("AITA", "we", "us"). By creating an account or using the Service you ("Customer") accept these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

AITA provides a tax operations platform including research, compliance calendars, e-invoicing mapping, thresholds tracking, vendor selection, maturity assessment, and workspace collaboration. Specific features may change over time. Enterprise customers may be governed by a separate Master Service Agreement ("MSA") and Order Form which prevail over these Terms in case of conflict.

2. Accounts and workspaces

Customer is responsible for maintaining the confidentiality of account credentials, for all activity performed under its workspaces, and for managing workspace members, roles, and MFA enrolment.

Customer will not: (a) reverse engineer, decompile, or attempt to derive source code, model weights, or prompts; (b) use the Service to build a competing product; (c) upload malware or unlawful content; (d) probe, scan or test the vulnerability of the Service without prior written authorisation; (e) exceed documented rate limits; or (f) use the Service to provide advice to third parties as a service bureau without a written enterprise agreement.

5. Customer data and confidentiality

Customer retains all rights to data it uploads ("Customer Data"). Customer grants AITA a limited licence to host, process, and display Customer Data solely to provide the Service. Personal data is processed under our Data Processing Agreement. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

6. AI features

AITA uses third-party large language models via a gateway to power search, drafting and analysis. Outputs are provided "as is" and may be inaccurate. Customer is responsible for reviewing outputs before relying on them for tax, legal, or accounting decisions. AITA does not use Customer Data to train third-party foundation models.

7. Professional advice disclaimer

The Service is a software tool. It does not provide legal, tax, or accounting advice, and use of the Service does not create a client relationship. Customer remains solely responsible for all tax filings, submissions and positions.

8. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, AITA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AITA does not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages, or loss of profits, revenue, data, or goodwill. Each party's aggregate liability under these Terms is capped at the fees paid by Customer to AITA in the 12 months preceding the event giving rise to liability.

10. Term and termination

These Terms remain in effect while Customer uses the Service. Either party may terminate for material breach not cured within 30 days of written notice. On termination, Customer may export its data for 30 days; thereafter AITA will delete it in accordance with the DPA.

11. Suspension

AITA may suspend the Service without notice where continued access poses a security, legal, or infrastructure risk, or where fees are more than 30 days overdue.

12. Modifications

AITA may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email or in-product notice. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of England and Wales, and each party irrevocably submits to the exclusive jurisdiction of the courts of London, England, unless a separate MSA specifies otherwise.
